This document governs the data collection practices and terms of use for Suwuyiku, a sole proprietorship registered under Udyam and legally operated by Souvik Das ("we," "us," or "our"). For the purposes of this agreement, the 'website' or 'platform' encompasses our main hub (suwuyiku.github.io), our dedicated Shop vault (hosted via Google Sites), and any other associated subdomains or digital properties operated by Suwuyiku.

Changes to these Terms of Use:
We reserve the right to modify this document. Minor changes will be effective immediately upon posting to this page with an updated 'Effective Date.' However, if we make material changes that significantly affect your rights or obligations, we will provide prominent notice on the website or notify you directly via the email associated with your account prior to the change becoming effective. Your continued use of the website following such notice constitutes your acceptance of the updated terms.

The "Shop" section of this site currently acts as a curated directory directing users to the storefronts of independent fellow creators. Some of these external links may be affiliate links, meaning Suwuyiku may earn a small commission at no extra cost to you if a purchase is made. Suwuyiku is not a party to any transactions made on these external sites. All purchases, customer service inquiries, and shipping disputes regarding external merch (such as physical goods or keychains) must be handled directly with the respective creator.

3. Future Commerce and Accounts

When the internal Suwuyiku Shop goes live, users will be required to authorize their accounts via Google Sign-In to access the vault. You are solely responsible for maintaining the confidentiality and security of your Google account credentials and any devices used to access the Suwuyiku Shop. Suwuyiku cannot and will not be liable for any loss or damage arising from your failure to protect your authentication details or from unauthorized access to your account. You must be at least the age of majority in your jurisdiction (typically 18 years of age) to create an account or make a purchase. By purchasing and immediately downloading or accessing digital content from the Suwuyiku Shop, you expressly consent to the immediate performance of the contract and acknowledge that you will lose your right of withdrawal and refund once the download or access has begun. All digital sales are otherwise final. Suwuyiku does not guarantee lifetime hosting or perpetual access to purchased digital assets. You are strongly encouraged to download and back up your digital purchases immediately upon fulfillment, as we reserve the right to modify, remove, or discontinue hosting specific digital files at any time without liability. Unless explicitly stated otherwise at checkout, all product prices are exclusive of applicable local sales taxes, Value Added Tax (VAT), or other localized digital commerce fees, which remain the sole responsibility of the purchaser based on their billing jurisdiction.

4. Limitation of Liability

The site, its contents, and all digital or physical products sold through the Suwuyiku Shop are provided "as is" and "as available" without any warranties of any kind, either express or implied. Suwuyiku does not warrant that the website, its servers, or any digital goods downloaded from the Shop are free of viruses, malware, or other harmful components. You assume the entire risk as to the quality and performance of your own devices. Suwuyiku shall not be held liable for any damages, including personal injury or property damage, resulting from the use or inability to use this website or any products purchased herein, including any issues arising from third-party links or services. In no event shall Suwuyiku’s total aggregate liability to you for all damages, losses, and causes of action (whether in contract, tort, or otherwise) exceed the total amount paid by you to Suwuyiku in the past twelve (12) months, or fifty U.S. dollars ($50.00), whichever is greater.

5. Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of West Bengal, India, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to this website shall be brought exclusively in the courts located in Kolkata, West Bengal, and you consent to the jurisdiction of such courts, unless mandatory consumer protection laws in your jurisdiction explicitly guarantee you the right to resolve disputes in your local courts. Prior to initiating any formal legal proceeding, you agree to first contact our Grievance Officer at suwuyiku.legal@gmail.com and make a good-faith effort to resolve the dispute informally for a minimum period of thirty (30) days. Furthermore, you agree that any legal proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If the dispute cannot be resolved informally, you and Suwuyiku agree to resolve any claim, dispute, or controversy through final and binding confidential arbitration, rather than in a court of general jurisdiction, subject to the rules of the governing arbitration body in Kolkata, West Bengal. Exception: Suwuyiku retains the right to seek immediate injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property rights (including violations of the Anti-Scraping provisions). Any cause of action or claim you may have arising out of or relating to these Terms of Use or the website must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

6. Indemnification

You agree to indemnify, defend, and hold harmless Suwuyiku from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your violation of these Terms or your misuse of the website, its codebase, or its content.

7. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole. Such provisions shall be deleted or modified without affecting the remaining provisions herein.

8. Force Majeure

Suwuyiku shall not be held liable for any failure or delay in fulfilling digital transactions, delivering goods, or providing access to the site resulting from circumstances beyond our reasonable control. This includes, but is not limited to, natural disasters, pandemics, epidemics, government-mandated lockdowns, labor strikes, global internet outages, server host failures, or third-party service downtimes (such as Google OAuth interruptions).

9. Entire Agreement

These Terms of Use, alongside the Privacy Policy, constitute the entire, exclusive agreement between you and Suwuyiku regarding your use of the website and digital shop. These Terms supersede all prior or contemporaneous written or oral agreements, communications, or understandings between you and Suwuyiku.

10. Copyright Infringement (DMCA Notice)

Suwuyiku respects the intellectual property rights of others. If you believe that any content hosted on this website infringes upon your copyright, please submit a formal notification to our legal contact (suwuyiku.legal@gmail.com) including your contact details, identification of the copyrighted work, and a statement made under penalty of perjury that you are authorized to act on behalf of the copyright owner. We will promptly investigate and remove infringing material.

We reserve the right to terminate, suspend, or restrict your access to the website, the Suwuyiku Shop, or your authorized account at our sole discretion, without notice or liability, for any reason, including but not limited to a breach of these Terms of Use or suspected fraudulent, abusive, or illegal activity. All provisions of these Terms of Use which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, binding arbitration, and class action waivers.

13. Digital Accessibility

Suwuyiku is committed to making our website accessible to everyone. We continuously seek to enhance our platform to comply with web accessibility standards. However, because this site utilizes dynamic third-party integrations (such as Google OAuth) and changing digital assets, some content may not be fully adapted to the strictest accessibility standards at all times. If you encounter any barriers to access, please contact our Grievance Officer, and we will make reasonable efforts to assist you.

14. User Feedback and Submissions

Any feedback, comments, ideas, or suggestions you provide regarding Suwuyiku, the website, or the Shop are entirely voluntary. By submitting such feedback, you grant Suwuyiku a perpetual, irrevocable, non-exclusive, royalty-free license to use, modify, and implement those ideas without any obligation, restriction, or compensation to you.

These Terms of Use and the associated Privacy Policy were originally written in English. To the extent any translated version of this agreement conflicts with the English version, the English version shall exclusively control and prevail in all legal disputes and interpretations.

16. Export Controls and Sanctions

By accessing the website or purchasing goods (digital or physical) from the Suwuyiku Shop, you represent and warrant that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive international sanctions or embargoes. Furthermore, you verify that you are not listed on any Indian, U.S., EU, or other applicable government list of prohibited or restricted parties.

17. No Waiver

The failure of Suwuyiku to enforce any right or provision of these Terms of Use will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Suwuyiku.

18. Assignment

You may not assign or transfer these Terms of Use, by operation of law or otherwise, without Suwuyiku’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Suwuyiku may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

19. User-Generated Content

If the website or Shop permits you to post reviews, comments, or other public content, you are solely responsible for the legality and accuracy of your submissions. Suwuyiku assumes no liability for any user-generated content posted by you or any third party. We reserve the absolute right, but not the obligation, to monitor, edit, or remove any content at our sole discretion, without notice, if we determine it to be unlawful, offensive, threatening, libelous, defamatory, or otherwise objectionable.

20. Prohibition on Data Mining and AI Training

You are strictly prohibited from using automated scripts, web scrapers, spiders, or any data mining technology to extract, copy, or harvest content, code, or digital assets from this website. Furthermore, you may not use any text, images, journals, or media from Suwuyiku to train, fine-tune, or develop artificial intelligence models, machine learning algorithms, or generative systems without explicit, prior written commercial licensing from Suwuyiku.

21. Promotions, Contests, and Sweepstakes

Any sweepstakes, contests, raffles, or other promotions (collectively, "Promotions") made available through the website or Shop may be governed by rules that are separate from these Terms of Use. If you participate in any Promotions, please review the applicable Official Rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will apply. All Promotions are void where prohibited by local law.
